BACKGROUND:
The City Council recently approved a contract with Granicus for a new website for the Town’s page. When the Town decided to change website providers for the primary page, staff also researched website providers that are specifically designed for DMOs (destination marketing organizations) and convention and visitors bureaus to replace the Visit Addison site. The Visit Addison website is currently a “microsite” on the Town’s main website. Simpleview has been serving DMOs since 2001 and 99% of its business is tourism related. Not only does it provide website solutions, but it also offers an integrated customer relationship management (CRM) tool that will allow staff to better track and engage with meeting planners and groups visiting Addison, as well as with our hotels, restaurants, and attractions. Simpleview currently works with 900+ DMOs throughout the world. Some local cities that use Simpleview’s services include Frisco, Grapevine, McKinney, Fort Worth, and Arlington. Some of the features on the new website will include: Partner Listings Dedicated landing page for every industry partner which can include images, text, amenities, Google map, website/social links, etc. Users may view listing results as a grid, list, or on a map. Partners (e.g. hotels, restaurants, attractions) can update their listings online via the extranet portal and submit for approval. Open Table will be integrated on the restaurant pages for users to make reservations directly from the website. Form Builder The ability to create and place various custom data collection forms (e.g., visitor guide requests) on any page of the website. Consumer form submissions that go directly into the Simpleview CRM website database. Visitor inquiry/form submission data that can be exported & leveraged for reports, including brochure fulfillment & creating mailing labels. Blog Module Create blog posts with full WYSIWYG editor, embed code support and access to HTML. Associate metadata for search engine optimization (SEO) purposes. Create categories, authors, and tags to enhance organization. Provide guest access/guest blogging with an approval process before publishing. Calendar of Events Display database-driven event listings submitted by the public, partners, or DMO. The ability to sort events using category filters and various data parameters. Events may be ranked or featured. The cost for the Visit Addison website design and CRM integration with Simpleview is $29,000 and the yearly license fee will be $29,900 for a total year-one cost of $58,900. Simpleview has been determined to be the sole source provider of this proposed CSM/CRM website and destination management platform.

BACKGROUND:
The publication Addison and the North Dallas Guide began in 1998 as a biannual publication that was distributed only in Addison hotels. Addison's financial contribution at that time was $40,000 per issue. Over the past 25 years, the magazine has expanded its distribution to include over 6,500 hotel rooms and 6,000+ restaurants, retail, residential real estate offices, apartment communities, building concierges, country clubs, medical offices, visitor centers, arts & entertainment venues and more, effectively reaching over 1.2 million who live, work & travel throughout the area annually. The magazine is also available in a digital edition that generates over 17,500 page views per issue on addisonmagazine.com. The website itself averages 25,000+ visitors per month and also features stories that appear in the e-news weekly. The e-news weekly publishes every Wednesday and has 22,000 subscribers. The Town’s current advertising contract expires on January 1, 2024. Staff is proposing renewing the advertising contract with Addison and the North Dallas Guide at a cost of $55,000 per issue, for a total yearly cost of $110,000. Funding was included in the Marketing & Tourism Fiscal Year 2024 budget. Some of the deal points of the contract include: Visitors' Guide to be distributed to the current 32 hotels featuring almost 7,000 hotel rooms in April and October (Addison will receive 18 pages of Run of Book (R.O.B.) advertising and editorial for each of the two issues, with guaranteed inside back cover and up to four additional full-page ads. A minimum of 10,000 copies will be printed and distributed (giving approximately 2,000 extra of each issue for replenishment throughout the semi-annual cycle). Addison Magazine currently has contracts with 32 hotels in the North Dallas corridor for in-room placement of the publication. The publisher will deliver the publication to the hotels and verify they are placed in hotel rooms. The publisher will also distribute the guide to participating hotel sales offices, corporate concierges and selected commercial, and residential leasing offices. The advertising sales area will be limited to: south of Legacy, east of Marsh Lane, north of Harvest Hill, west of Hillcrest Road. Digital issue will be published at the same time as the print issue. A link to the digital issue will be included in the E-News and included on the website. Addison will receive 18 pages of R.O.B. advertising and editorial for each of the two issues, with guaranteed inside back cover and up to four additional full-page ads. Website will be maintained with content updates to be made a minimum of every two weeks. Addison to be given advertising space each month on the home page, as well as each of the category pages. The current Addison Magazine website has on average 25,000 visitors per month. E-News Publication will be produced and distributed at a minimum frequency of every two weeks. It is currently being published weekly. Addison will receive one banner ad position in each issue of the E-News publication. Editorial focus will be on items related to Addison tourism (restaurant specials, live musical entertainments, events, etc.) and less “lifestyle” oriented (travel, medical updates, etc.) The current Addison Magazine E-News has 22,000 subscribers.

BACKGROUND:

16051 Addison LLC (“Ground Tenant”) acquired the Ground Lease from Concourse Plaza II, Ltd. on June 8, 2021. The Ground Lease is due to expire September 30, 2060. The leased premises, located at 16051 Addison Road at Addison Airport, are improved with a 42,916 square-foot, two-story, multi-tenant office building with five attached aircraft hangars. Tyton Holdings, parent company of the Ground Tenant, is the primary user and occupant of the office building.

The Ground Tenant desires to increase its leased premises by 6,658 gross square feet as described in Exhibit B-1 and B-2 of the proposed fourth amendment. Consequently, the annual base rent is to be proportionately increased to $65,576, an increase of $5,127 per annum. Further, Landlord and Tenant desire to extend the term of the Ground Lease by five years so that it expires September 30, 2065. All other terms and conditions of the Ground Lease remain unchanged.

With the additional land subject to the Ground Lease, the Ground Tenant intends to demolish the existing five hangars and construct two larger hangars in their place to accommodate Tyton Holdings’ corporate aircraft. The added land is necessary to provide sufficient separation between adjacent buildings and operational clearances.

BACKGROUND:
Airport Management has been using and relying on Wizard Software's REPortfolio™ Lease and Agreement Management Software since 2004. REPortfolio™ is a cloud-based, multi-relational database used to actively track, monitor, report, and analyze the airport's real estate portfolio. REPortfolio™ provides staff with the tools required to manage real properties at the airport and all related leases and agreements, property data, descriptions of building improvements, critical dates, and financial data. The database upgrade is necessary to, among other things, continue to receive technical support. Technical support for the airport's current version 8, first implemented in 2016, will soon expire and no longer be supported by the licensors. The version 11 software upgrade will include, among other improvements, a project management module incorporating existing customization, development, and adding new customization, testing, data importing, and training. Upgrading to version 11 Professional will result in better performance, efficiency, regular security updates, and functional support for GASB 87 lease accounting and reporting standards. This item is budgeted in the Information Technology Replacement Fund in the amount of $60,000. It will take approximately four months to complete the upgrade. As a web-based application hosted by the vendor, no additional or special resources are required of IT or of the Town.

BACKGROUND:
JJS Hangar, LLC (Assignor) is requesting the Town of Addison to give its consent to the proposed sale and assignment of 4585 Claire Chennault Drive at Addison Airport from JJS Hangar, LLC to N898TX Leasing, LLC (Assignee). The 1.144-acre Ground Lease was entered into in April 1984 with Redman Investments, Inc. and was subsequently sold and assigned to Triad CSGP, LLC on June 7, 2005. The Ground Lease was subsequently amended by the First Amendment to Ground Lease dated June 8, 2005. In January 2008, the property was sold and assigned to JJS Hangar, LLC. The Ground Lease is due to expire in 2039. The building improvements consist of a three-bay hangar complex with approximately 16,000 square feet of conventional hangar space: 5,400 square feet of office/shop space on two floors, and approximately 18,774 square feet of aircraft apron subject to a “shared-ramp” ingress/egress easement affecting much of the eastern end of Taxilane Victor. N898TX Leasing, LLC is managed by Mr. David Natinsky, co-owner of Stature Aviation, a rapidly growing aeronautical service provider at Addison Airport. Stature Aviation provides aircraft management and charter, aircraft sales, flight training, and maintenance services, and is the official Cirrus training center for the DFW Metroplex. Stature Aviation also subleases and occupies hangar and office facilities within the immediate vicinity of 4500 Westgrove Drive and 4581 Claire Chennault Drive. The city attorney has reviewed the proposed Assignment of Ground Lease Agreement with Consent of Landlord and finds it acceptable for the Town’s purposes. After the City Manager executes the Consent of Landlord, airport management will deliver the agreement in trust to the escrow agent administering the closing transaction to be executed by the parties, and we will instruct the escrow agent to deliver a publicly recorded copy of the fully executed document to us for the Town’s records.
RECOMMENDATION:

Consider action on a Resolution requesting exclusion from the class action settlement agreement between active public water systems and the 3M Company related to perfluoroalkyl and polyfluoroalkyl substances ("PFAS").
BACKGROUND:
Polyfluoroalkyl and Perfluoroalkyl Substances (“PFAS”) are chemicals used in a range of products, from firefighting foam to non-stick cookware. They are often referred to as “forever chemicals.” Public water systems in various parts of the country filed lawsuits against 3M and other chemical companies, including DuPont, alleging harm resulting from the presence of PFAS in drinking water and/or the need to monitor for the presence of PFAS in drinking water. The parties have reached a settlement agreement, the first between the public water systems and 3M for $10.3 billion and a separate $1.19 billion settlement agreed to by DuPont. There are two groups of class members: (1) all active public water systems with one or more impacted water sources (i.e., tested positive for PFAS) as of June 22, 2023; and (2) all active public water systems that do NOT have impacted water sources but (i) are required to test for PFAS, or (ii) serve more than 3,300 people. The settlements proposed appear to be structured to benefit cities with identified PFAS issues who are under state mandates to correct the problem prior to 2036. The EPA has not adopted any acceptable levels of PFAS, nor has Texas adopted any PFAS standards or treatment protocols. The settlement agreements also do not appear to provide sufficient financial incentive for water suppliers to waive possible future claims against 3M for PFAS relief. Several states and municipalities have filed objections to the settlement agreements, including Texas. Those objecting argue the settlement terms are too broad and could inappropriately release the companies from too much future potential liability over PFAS pollution – including for remediation of soil or wastewater contamination, and from some personal injury claims. The City of Dallas, from whom the Town of Addison purchases its drinking water, lodged such an objection because it felt the funds proposed are grossly inadequate considering the future unknowns. The Dallas Water Utilities (“DWU”) held a meeting with its retail customers, including the Town of Addison, on November 27, 2023, during which DWU explained its position and asked its wholesale customers to opt-out of the settlement agreements. Marten Law LLP represents DWU. They supplied template letters to wholesale customers seeking exclusion from two distinct settlement agreements. The provided letters include an affidavit from the wholesale customer, affirming the whole retailer's inclusion in the settlement class. The affidavit also asserts the affiant's authority to opt-out on behalf of the public water system and requests exclusion. The deadline to opt-out of the DuPont settlement class is December 4, 2023, and the deadline for the 3M settlement is December 11, 2023. The required opt-out notices for the Town have been sent out. Because the Town purchases its water from DWU, the Town will rely on DWU and its attorneys to test for PFAS, analyze the impact if any, and devise a plan to recover the damages, if any, from the various chemical companies.
RECOMMENDATION:
Staff recommends approval.

Because the Town purchases its water from DWU, the Town will rely on DWU and its attorneys to test for PFAS, analyze the impact, if any, and devise a plan to recover the damages, if any, from the various chemical companies.

Consider action on a Resolution approving an agreement with Bureau Veritas for on-call building inspection services and authorizing the City Manager to execute the agreement in an amount not to exceed $67,500.
BACKGROUND:
The Town's Building Inspections Division staffing includes five employees - Building Official (1), Plans Examiner (1), Senior Permit Technician (1), and Senior Building Inspectors (2). In the past, the Town also employed a part-time building inspector to serve in an on-call capacity when there is an inspector absence for an extended duration, typically due to medical leave or personnel transition. Following the recent retirement of that part-time inspector, the Development Services Department obtained approval of a budget decision package to replace that part-time asset with a third-party inspections provider. This proposed agreement will allow staff to contract with Bureau Veritas to provide an experienced building inspector to supplement the Town in the event of an inspector absence. This will allow for construction projects to continue without delay and ensure that work is being inspected by qualified personnel. The $67,500 financial commitment for this agreement would only be utilized as needed, and would account for approximately six weeks of on-call inspections services based on our current workload. The fee schedule included in the attached agreement includes a range of plan review and inspection fees. The intent of this agreement is for it to only be utilized for back-up inspections in the event of inspector absence. Fees intended to address assignment of an entire project to Bureau Veritas have been included in the agreement for emergency use only. If that were to ever become a need, the Development Services Department would coordinate with City Management prior to any commitment. Management of this agreement will be carried out by the Town's Building Official, with oversight from the Director of Development Services.
