AGENDA CAPTION:
Consider Action to Approve a Resolution to Amend the North Texas Emergency Communication Center (NTECC) Bylaws. 
BACKGROUND:
The cities of Addison, Carrollton, Coppell, and Farmers Branch entered into an Interlocal Cooperation Agreement on January 27, 2014, for the purpose of jointly establishing a Local Government Corporation to create the North Texas Emergency Communications Center (NTECC). NTECC is a regional public safety communications center that provides consolidated Police, Fire, and EMS dispatch services to a resident population of approximately 220,000. On February 25, 2014, Council approved the creation of NTECC, the form of Certificate of Formation, and Bylaws for the local government corporation.

This item is to amend the bylaws for NTECC. Notable changes include:
  1. Section 2.05 Meetings of Directors
    • Allows directors to meet in Denton or Dallas County. This is a change from only Dallas County.
  2. Section 2.06 Annual Meetings
    • Allows meetings to be held in Denton or Dallas County. This is a change from only Dallas County.
  3. Section 2.15 Operations Advisory Committee (OAC)
    • Subsection (g) - Officers
      • Adds that the election of officers, after the effective date of these bylaws, to the first meeting of the OAC conducted on or after October 1st of each year
    • Subsection (i) - Meetings
      • Changes the frequency of meetings from monthly to at least quarterly
  4. Section 4.08 Reserve Fund:
    • Adds that unencumbered funds remaining at the end of fiscal year shall be converted to the Reserve Fund or returned to the Cities the following year. This is a change from only being able to be converted to the Reserve Fund.
  5. Section 4.11 Sale or Transfer of Assets
    • Changes the depreciated unit value of less than $1,000 to less than $5,000 per unit

The attached resolution includes the proposed amended bylaws. The red-lined version is also attached to view all proposed changes to the bylaws.
RECOMMENDATION:
Administration recommends approval.
